Important Disclosures

Nature of Service: Oneiros Vision is a quantitative macro risk monitoring and regime classification tool. It provides systematic signals based on macroeconomic data analysis. It does not provide investment advice, investment recommendations, or solicitations to buy or sell any securities.

Not a Registered Investment Adviser: Oneiros Vision is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities regulatory authority. The signals, regime classifications, and risk assessments provided by this platform are for informational and educational purposes only.

No Fiduciary Relationship: Use of this platform does not create a fiduciary, advisory, or professional relationship between Oneiros Vision and any user. Users are solely responsible for their own investment decisions and should consult with a qualified, registered financial advisor before making any investment decisions.

Methodology & Validation

Validated Period: All regime classifications and risk signals are validated against macroeconomic data from January 1, 2010, to present. This period encompasses multiple market cycles including the 2011 European Debt Crisis, the 2015/2016 Industrial Recession, the 2018 Volatility Shock, the 2020 COVID-19 Crash, the 2022 Bear Market, and the 2025 Tariff Shock.

Model Inputs: The Oneiros Vision engine processes 17 macroeconomic indicators across three systematic pillars (Volatility Speedometer, Market Sentiment, and Macro Health) to generate a composite risk score (the MDI Anchor). Regime classification is determined by structural thresholds applied to this composite score, filtered through a 5-day consensus mechanism to reduce signal noise.

Data Dependency: The accuracy of regime classifications is dependent on the availability, timeliness, and quality of underlying macroeconomic data sources. Data delays, revisions, or disruptions may temporarily affect signal accuracy.

Risk Warnings

No Guarantee of Accuracy: While the Oneiros Vision engine has demonstrated consistent crisis detection timing during its validated period, no quantitative model can guarantee future accuracy. Markets are inherently unpredictable, and past signal performance is not indicative of future results.

Model Limitations: The engine is designed to detect macro regime deterioration — the gradual buildup of systemic risk. It is not designed to detect or protect against flash crashes, single-stock events, geopolitical shocks, or other sudden market dislocations that occur faster than the model's structural lookback periods.

Hypothetical Performance: Any backtested results displayed on this platform are hypothetical in nature, do not represent actual trading, and may not reflect the impact of material economic and market factors on decision-making. Actual results may differ materially from hypothetical or backtested performance.

Investment Risk: All investments involve risk, including the possible loss of principal. There is no assurance that any investment strategy will achieve its objectives.

1. Definitions

• "Platform" refers to the Oneiros Vision quantitative risk analytics terminal, accessible via www.oneirosvision.com, operated by Oneiros Vision Research S.R.L., a company registered in Romania ("Oneiros Vision", "OV", "we", "us", "our").
• "Subscriber" refers to any individual or entity that creates an account on the Platform, whether on a free trial or paid subscription.
• "Authorized User" refers to a regulated financial professional (e.g., Registered Investment Adviser, Portfolio Manager, Family Office Principal, or Fund Manager) acting in a professional or fiduciary capacity.
• "Services" refers to all quantitative risk analytics, macro regime classifications, portfolio risk monitoring, execution blueprints, and related data outputs provided through the Platform.
• "Subscription Term" refers to the duration of a Subscriber's active paid access to the Platform, whether monthly or annual.

2. Acceptance of Terms

By accessing, registering for, or using the Platform, the Subscriber acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions. If the Subscriber does not agree, they must discontinue use of the Platform immediately.

These Terms constitute a legally binding agreement between the Subscriber and Oneiros Vision Research S.R.L. Registration on the Platform constitutes acceptance of these Terms in their entirety.

3. Service Description

Oneiros Vision is a quantitative macro risk monitoring and regime classification tool. It provides systematic signals based on macroeconomic data analysis for use by institutional and professional investors.

The Platform does not provide investment advice, investment recommendations, or solicitations to buy, sell, or hold any securities. No fiduciary, advisory, or client relationship is created between OV and any Subscriber. Subscribers are solely responsible for their own investment decisions.

Oneiros Vision is not registered as an investment adviser with any securities regulatory authority worldwide. All outputs are for informational and educational purposes only.

4. Subscription & Billing

4.1 Pricing Tiers: The Platform offers multiple subscription tiers, including but not limited to: Launch Catalyst (founding member rate), Professional Tier (standard monthly), and Preferred Annual. Current pricing is displayed on the Platform's Institutional Access & Pricing page and is denominated in Euros (EUR).

4.2 Payment Processing: All payments are processed securely through Stripe, Inc. OV does not store credit card numbers, CVV codes, or other payment card details on its servers. Subscribers authorize recurring charges at the frequency corresponding to their chosen tier.

4.3 Auto-Renewal: All subscriptions automatically renew at the end of each billing cycle (monthly or annually) at the then-current rate, unless cancelled by the Subscriber prior to the renewal date.

4.4 Price Changes: OV reserves the right to modify subscription pricing with a minimum of 30 days' written notice via email. Existing Subscribers will be notified before any price change takes effect on their next billing cycle.

5. Free Trial

New Subscribers may be eligible for a complimentary 14-day free trial providing full access to the Platform's Services. The trial begins at the time of account activation and expires automatically after 14 calendar days.

No payment information is required to initiate a free trial. Upon trial expiration, access to the Platform's analytical Services is restricted until a paid subscription is activated. No obligation to subscribe is created by the trial.

6. Cancellation & Refund Policy

6.1 Self-Service Cancellation: Subscribers may cancel their subscription at any time through the Stripe Billing Portal, accessible via their user profile within the Platform (Subscription & Billing → Manage / Cancel Subscription).

6.2 Access After Cancellation: Upon cancellation, the Subscriber retains full access to the Platform until the end of the current paid billing period. No pro-rated refunds are issued for the remaining days of a billing cycle.

6.3 Monthly Subscriptions: Monthly subscriptions may be cancelled at any time. Access continues through the end of the current monthly billing period.

6.4 Annual Subscriptions: Annual subscriptions may be cancelled at any time. Access continues through the end of the current annual billing period. Annual subscriptions are non-refundable after the first 14 days from the date of purchase, in accordance with EU consumer protection regulations.

6.5 Non-Payment: If a recurring payment fails (e.g., expired card, insufficient funds), OV will attempt to process the payment according to Stripe's retry schedule. If payment cannot be collected, the subscription will be set to expired and Platform access will be restricted until payment is resolved.

7. Account Suspension & Termination

7.1 By the Subscriber: Subscribers may delete their account at any time through the Platform's user profile settings. Account deletion is permanent and irreversible.

7.2 By Oneiros Vision: OV reserves the right to suspend or terminate any account, without prior notice, in the event of:

• Violation of these Terms & Conditions
• Misrepresentation of Authorized User status
• Unauthorized redistribution, resale, or reproduction of Platform data or outputs
• Attempts to reverse-engineer, scrape, or extract proprietary model logic
• Non-payment of subscription fees beyond Stripe's retry period
• Any activity that OV reasonably determines to be fraudulent or harmful

In the event of termination for cause, no refund will be issued for the remaining subscription period.

8. Intellectual Property

All content, data, algorithms, quantitative models, regime classification methodologies, user interface designs, branding, and documentation provided through the Platform are the exclusive intellectual property of Oneiros Vision Research S.R.L. and are protected by applicable copyright, trademark, and trade secret laws.

Subscribers are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform's outputs solely for their own internal, professional risk monitoring purposes during the Subscription Term.

Prohibited: Redistribution, resale, sublicensing, public display, republication, or systematic extraction of any Platform data, analytics outputs, or proprietary model signals without prior written consent from OV.

9. Data Handling & Privacy

9.1 Data We Collect: OV collects the following categories of personal data in connection with the provision of Services:

• Account Information: Full name, email address, firm name, professional attestation status
• Authentication Data: Encrypted password hashes, two-factor authentication secrets, session tokens
• Usage Data: Login timestamps, IP addresses, pages accessed, portfolio allocations entered by the Subscriber
• Billing Data: Stripe customer ID and subscription status (credit card details are stored exclusively by Stripe, Inc. and are never accessible to OV)

9.2 How We Use Data: Personal data is used exclusively for account authentication and security, subscription management and billing, Platform functionality (e.g., portfolio risk calculations), security monitoring and fraud prevention, and communication regarding account status and service updates.

9.3 Data We Do Not Sell: OV does not sell, rent, lease, or share Subscriber personal data with third parties for marketing or advertising purposes.

9.4 Data Retention: Upon account cancellation or expiration, OV retains Subscriber account data (excluding portfolio allocations) for up to 12 months to facilitate potential reactivation and comply with regulatory record-keeping requirements. Subscribers may request complete data deletion at any time by contacting oneirosvision.research@gmail.com.

9.5 GDPR Rights (EU Subscribers): In accordance with Regulation (EU) 2016/679 (General Data Protection Regulation), EU-based Subscribers have the right to access their personal data held by OV, request rectification of inaccurate data, request erasure of their data ("right to be forgotten"), object to or restrict certain processing activities, and request data portability in a machine-readable format. 10. Limitation of Liability

To the maximum extent permitted by applicable law, Oneiros Vision Research S.R.L., its officers, directors, employees, and affiliates shall not be liable for:

• Any investment losses, trading losses, or financial damages arising from the use of or reliance upon Platform outputs
• Interruptions, delays, or errors in data feeds or Platform availability
• Inaccuracies in regime classifications, risk scores, or model outputs
• Unauthorized access to Subscriber accounts due to compromised credentials
• Any indirect, incidental, special, consequential, or punitive damages

The aggregate liability of OV for any claim arising from these Terms shall not exceed the total subscription fees paid by the Subscriber during the 12 months preceding the claim.

11. Indemnification

The Subscriber agrees to indemnify, defend, and hold harmless Oneiros Vision Research S.R.L. and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• The Subscriber's use of or reliance upon Platform outputs for investment decisions
• Misrepresentation of Authorized User status
• Violation of these Terms & Conditions
• Infringement of any third-party rights through misuse of Platform data

12. Governing Law & Dispute Resolution

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Romania and applicable European Union regulations, without regard to conflict of law principles.

12.2 Dispute Resolution: Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered under the rules of the Court of International Commercial Arbitration attached to the Chamber of Commerce and Industry of Romania (CCIR).

12.3 Jurisdiction: For matters not subject to arbitration, the courts of Bucharest, Romania shall have exclusive jurisdiction.

12.4 Class Action Waiver: To the fullest extent permitted by law, any proceedings shall be conducted on an individual basis only. The Subscriber waives the right to participate in a class action, collective action, or representative proceeding.

13. Modifications to Terms

OV reserves the right to modify these Terms & Conditions at any time. Material changes will be communicated to Subscribers via email at least 30 days prior to taking effect. The "Last Updated" date at the top of this document will be revised accordingly.

Continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If a Subscriber does not agree to the modified Terms, they must cancel their subscription and discontinue use of the Platform.
